1. Introduction

These terms and conditions ("Terms") govern your use of the software-as-a-service platform and related services ("Services") provided by us. By accessing or using our Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organisation, you confirm that you have authority to bind that organisation to these Terms. These Terms apply to customers in the United Kingdom. If you do not agree to these Terms, you must not use our Services.

  • "User Content" means any data, materials or content you upload, submit or transmit through the Services.

We may update, modify or discontinue features from time to time with reasonable notice where practicable. We do not guarantee that the Services will be uninterrupted, error-free or secure.

4. Account and Registration

To use the Services you must create an Account and provide accurate, complete and current information. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your Account. You must notify us promptly of any unauthorised access or breach of security. You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services.

5. Fees and Payment

Fees for the Services are as set out on our website or in your order form. Unless otherwise stated, fees are quoted in pounds sterling (GBP) and exclude VAT, which will be added where applicable. You agree to pay all fees due in accordance with your chosen billing cycle. We may change our fees on reasonable notice; continued use of the Services after the change constitutes acceptance. If you are a consumer, your statutory rights under the Consumer Rights Act 2015 are not affected.

6. Your Obligations and Acceptable Use

You must use the Services only for lawful purposes and in accordance with these Terms. You must not: (a) use the Services in any way that breaches applicable laws or regulations; (b) infringe our or any third party's intellectual property or other rights; (c) transmit any harmful, offensive or illegal content; (d) attempt to gain unauthorised access to our systems or other accounts; (e) use the Services to distribute malware or engage in phishing; or (f) resell or sublicense the Services without our prior written consent. We may suspend or terminate your access if you breach these obligations.

7. Intellectual Property

We (or our licensors) own all intellectual property rights in the Services, including the software, design, branding and documentation. Nothing in these Terms transfers any of those rights to you. You retain ownership of your User Content. You grant us a non-exclusive, royalty-free licence to use, store and process your User Content as necessary to provide and improve the Services and as described in our Privacy Policy.

8. Data Protection and Privacy

We process personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. Our Privacy Policy explains how we collect, use and protect your personal data. Where we act as a processor on your behalf, we will process personal data only in accordance with your instructions and applicable data protection law.

9. Confidentiality

Each party will keep confidential any information disclosed by the other that is designated confidential or that reasonably should be understood to be confidential. This obligation does not apply to information that is publicly available (other than through breach), independently developed, or required to be disclosed by law. Confidentiality obligations survive termination of these Terms.

10. Limitation of Liability

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law. Subject to that, we shall not be liable for any indirect, consequential, special or punitive loss or damage, or for loss of profits, revenue, data or goodwill. Our total liability under or in connection with these Terms (whether in contract, tort or otherwise) shall not exceed the fees paid by you in the 12 months preceding the claim or £100, whichever is greater. If you are a consumer, you have statutory rights that are not affected by these limitations.

11. Indemnity

You agree to indemnify and hold us harmless from and against any claims, losses, damages, costs and expenses (including reasonable legal fees) arising out of or in connection with your use of the Services, your User Content, or your breach of these Terms.

12. Term and Termination

These Terms apply from when you first use the Services until terminated. You may close your Account at any time. We may suspend or terminate your access immediately if you breach these Terms, or on reasonable notice for any other reason. On termination, your right to use the Services ceases. Provisions that by their nature should survive (including intellectual property, confidentiality, limitation of liability and indemnity) will survive termination.

13. General

These Terms constitute the entire agreement between you and us regarding the Services. No failure or delay in enforcing any right shall operate as a waiver. If any provision is held invalid or unenforceable, the remaining provisions remain in effect. You may not assign or transfer your rights under these Terms without our consent. We may assign our rights and obligations to an affiliate or in connection with a merger or sale of assets.

14. Governing Law and Disputes

These Terms are governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction to settle any dispute arising from or connected with these Terms, except that we may bring proceedings in any court of competent jurisdiction to protect our intellectual property or confidential information. If you are a consumer, you may also bring proceedings in the courts of the part of the United Kingdom in which you reside.
